What happens to existing contracts during a sale?

In a share transaction, contracts generally remain in effect. Buyers assess the term, conditions, and any potential risks. If contracts contain a change-of-control clause, they can sometimes be renegotiated. In an asset transaction, contracts are not automatically transferred. Consent from the counterparty is generally required for a transfer.
