What is goodwill?

Goodwill is a residual value. It represents the difference between the purchase price paid and the fair market value of a company’s identifiable assets and liabilities. This difference reflects factors such as reputation, customer relationships, expertise, organization, and growth potential. Buyers pay for goodwill when they expect the company to structurally generate added value beyond the value of its individual assets.
